EVERY BUYER OF LAND SHOULD TAKE NOTICE OF THE RECENT JUDGMENT OF THE SUPREME COURT IN MUSTAPHA V. ABUBAKAR (2026) 7 NWLR (Pt. 2043) 541 SC

Before the recent judgment of the Supreme Court in Mustapha v. Abubakar (2026) 7 NWLR (Pt. 2043) 541 SC, the law was that where a purchaser of land makes a part payment for the purchase of land the seller can no longer resell the land to another buyer because there exist a contract of sale between the buyer and the seller at the moment.

However, this law has changed following the recent judgment of the Supreme Court in Mustapha v. Abubakar (2026) 7 NWLR (Pt. 2043) 541 SC where the Supreme Court clearly held that if a buyer makes a part payment for the purchase of land but fails to complete the entire purchase price within the time stipulated by them, the seller has the right to resell the land to another buyer.

Again, a seller who resells the land to another buyer must refund the money paid as part payment.

"An agreement for sale of land signed by only one of two joint vendors is scarcely capable of transferring title to any purchaser. I therefore find it difficult in the extreme to appreciate how Exhibit CM1 can be treated as a valid instrument of title upon which entitlement to the grant of statutory right of occupancy can be predicated.

Where two persons are listed as "joint vendors" in an instrument of sale, but one of them fails, neglects or refuses to sign the instrument (whether for good reason, for bad reason or for no reason at all), I would hate to think that a valid sale transaction can be said to have been consummated by such an instrument."
