Understanding the Latest Changes in the Real Estate Realm. An Attempt at a Guide for Home Buyers, Sellers and really anyone who would like to make some sense of it all.

Recently, the real estate industry has seen some changes, particularly in how Realtor commissions are presented and structured. These changes have been influenced by some high profile legal rulings, evolving market dynamics, tech trends, consumer advocacy efforts and more.

What I’m aiming to present here is a helpful overview of the latest developments in residential real estate commissions, a few key legal rulings, how mortgage lending may evolve in the wake of it all, and the risks of navigating this brave new market without professional buyer agent representation.

You may ask, “Why are Buyer Agency Agreements required all of a sudden? I liked the way things were before.”

Lets start with a historical recap....

The Traditional Model of Realtor Commissions: Historically, Realtor commissions in the US have followed a fairly consistent structure. Sellers typically agreed to pay a commission to the listing agent (the seller's Realtor), who then shared this commission with the buyer's agent (the Realtor representing the buyer). This commission, which was typically around 5% to 6% of the home's sale price in most markets, was split between the two agents, with each receiving half.

However, recent legal rulings and market changes have led to some shifts in how these commissions will be presented and structured from this point forward.

Key Changes in Realtor Commissions:

1. Legal Rulings and Their Impact:

o Sitzer/Burnett v. National Association of Realtors (NAR): One of the most significant legal cases impacting Realtor commissions is the Sitzer/Burnett v. NAR case. Filed in 2019, this class-action lawsuit in Missouri challenged the traditional commission structure, arguing that it violated antitrust laws by inflating costs for home sellers. The plaintiffs contended that the rules imposed by NAR and large brokerages forced sellers to pay inflated commissions to both the listing and buyer's agents, even though the seller primarily benefits from the listing agent's services. In 2023, the court ruled in favor of the plaintiffs, leading to a settlement where NAR and several major brokerages agreed to pay over $1 billion and make significant changes to commission practices.

o Moehrl v. National Association of Realtors: Similar to the Sitzer/Burnett case, the Moehrl v. NAR case, filed in Illinois, also challenged the traditional commission structure on antitrust grounds. This case is ongoing, but it has already led to increased scrutiny of commission practices and is pushing the industry toward greater transparency and flexibility in how commissions are negotiated and disclosed.

These legal rulings have compelled the real estate industry to reconsider how commissions are structured, leading to new rules and practices that increase transparency and negotiation between buyers, sellers, and their agents.

2. Buyer-Paid Commissions:

o A seller paid commission percentage will no longer be advertised on any MLS, but Sellers may of course still choose to offer a cooperating commission to a buyer’s agent. It will just not be advertised on any Multiple Listing Service.

o Cooperating commission percentages can still be relayed elsewhere (on brokerage websites, in an agent’s individual website, through agent-to-agent communication, and so on.

o One of the most significant shifts resulting from these legal rulings is that in some instances, buyers may be paying their agent’s commission directly.

o These recent shifts increase transparency and will also compel buyers to be more prepared and informed as it relates to how their agent's fees (and other closing costs) will be paid in the transaction.

3. Variable Commission Rates:

o Commission rates have always been negotiable. Sellers can negotiate different commission rates with their listing agents, and buyers can do the same with their agents. Agency in the context of Real Estate has always allowed for customized arrangements based on the specific needs of each transaction.

o Now more than ever, Buyers and Sellers will benefit from being proactive in discussing and negotiating these rates and considerations upfront and as early as possible.

The Role of Mortgage Lenders:

As buyers face the possibility of paying their agent’s commission directly, mortgage lenders will likely evolve and respond in the crucial role of easing this potential financial burden. Many lenders are rolling out programs that allow buyers to include their agent's commission in their mortgage. This option can make the process more manageable by rolling commissions into the loan rather than requiring an upfront payment.

For example, some lenders may offer specific mortgage products that bundle the buyer's agent's commission with the purchase price, effectively financing it along with the home. This approach can provide buyers with the flexibility they need to cover their agent's fees (in instances involving sellers that do not offer any cooperating commission) without depleting their cash reserves at closing.

The Dangers of Navigating the Real Estate Market Without Buyer Agent Representation:

As some aspects of the real estate market continue to evolve, some buyers may be tempted to forgo professional representation in an effort to save on commission costs. That approach carries a high degree of risk, including a likely sequence of unsuccessful bid attempts, higher purchase prices, worse terms, less leverage during the inspection process, and more.

Foregoing professional buyer agent representation carries a slew of these and other significant risks, especially in a complex and competitive market.

Here are some key dangers and considerations:

1. Navigating the Inspection Period:

o One of the most critical stages of a real estate transaction is the inspection period. During this time, the buyer has the opportunity to conduct a thorough inspection of the property to identify a myriad of issues and deficiencies. Without a knowledgeable buyer’s agent, buyers may not fully understand the consequences of this period or how to leverage the results to their advantage.

o An experienced buyer’s agent can guide you through the inspection process and the negotiations that follow. They can assist in negotiating repairs or use the inspection results to negotiate an improved purchase price or closing cost credit from the seller. For example, if significant issues are discovered, a buyer’s agent might negotiate a price reduction or have the seller cover the cost of repairs, which could save the buyer thousands of dollars.

2. Understanding Market Conditions:

o Real estate markets can vary significantly by location and time, with factors such as inventory levels, interest rates, and economic conditions influencing prices and competition. A buyer’s agent has access to real-time market data and can provide valuable insights into current market conditions, helping buyers make informed decisions.

o Without an agent, buyers might overpay for a property in a competitive market or miss out on favorable opportunities in a buyer’s market. An experienced agent can also advise on the best offer strategies, such as when to make an aggressive bid or when to negotiate for better terms.

3. Negotiating Terms and Contracts:

o Real estate contracts are complex legal documents that require careful review and understanding. Without professional representation, buyers risk entering into agreements with unfavorable terms or missing critical deadlines that could jeopardize the transaction. (or expose yourself to various claims)

o A buyer’s agent can help you navigate the contract process, ensuring that all contingencies are in place to protect your interests. They can also negotiate terms that might be overlooked by an unrepresented buyer, such as including contingencies for financing, inspections, or appraisal results.

4. Access to Off-Market and Pre-Market Listings:

o A significant advantage of working with a buyer’s agent is access to off-market or pre-market listings that are not widely advertised. These opportunities can provide buyers with access to properties before they hit the open market, often resulting in less competition and potentially better deals.

o Buyers without representation may miss out on these opportunities, limiting their options and potentially paying more for a property due to increased competition.

5. Avoiding Emotional Pitfalls:

o Buying a home is often an emotional process, and without a professional advocate, buyers may be more prone to making decisions based on emotions rather than logic and market realities. An experienced buyer’s agent serves as a buffer, providing objective advice and helping you stay focused on your goals.

Options for Home Buyers and Sellers:

Given these changes, it’s important to understand the options available to you, whether you’re buying or selling a home.

1. For Sellers:

o Negotiate Commission Rates: With greater flexibility in commission structures, you have the option to negotiate all of the above with your listing agent. Don’t hesitate to discuss commission rates and structures with your agent as early as possible.

o Offer Buyer’s Agent Commission: While you’re not obligated (and never were) to pay a buyer’s agent’s commission, offering a competitive cooperating commission rate could make your property more attractive to buyer's agents, potentially increasing the pool of buyers for your property and leading to a quicker sale.

2. For Buyers:

o Budget for Agent Fees: If the responsibility for paying your agent’s commission falls on you, ensure that you include this in your budget. Discuss with your Realtor about whether their fee can be rolled into your mortgage, or if you’ll need to pay it out of pocket. All of this can be laid out in a Buyer Agency Agreement you sign before embarking on a house hunt.

o Leverage Mortgage Options: Talk to your mortgage lender about programs that allow you to roll your agent’s commission into your loan. This can make the upfront costs more manageable and give you more flexibility in your home purchase.

While these changes might seem daunting, there are several ways to navigate them effectively:

1. Stay informed about the latest developments in Realtor commissions and real estate laws. Understanding your rights and the evolving commission structures will empower you to make better decisions and navigate your market most effectively.

2. Communicate Openly with Your Realtor: Transparency and communication are key. Whether you’re buying or selling, have an open discussion with your Realtor about their commission structure, services provided, and any potential changes in the transaction process.

3. Seek Professional Advice: If you’re unsure about how these changes might impact your transaction, consider seeking advice from a real estate attorney or financial advisor. They might also provide valuable insights and options to help you navigate these potentially complex situations.

4. Be Flexible and Open to Negotiation: Real Estate markets are ever-changing, dynamic, and being flexible with your approach can lead to better outcomes. Be prepared and willing to negotiate commission rates and structures to arrive to a solution that works best for you.

While some aspects of Real Estate are evolving, the most important and fundamental elements remain the same as they always were: Find a trusted and experienced professional that puts you, the client, first. As an Agent, all of our fiduciary responsibilities should be focused on maximizing value and protecting the interests of our clients.
