One of the most common questions I get as a business broker at Transworld is “When should I start preparing to sell?” and the answer is almost always much earlier than you think.

Here are a few things every business owner should know:

• Most successful exits start eighteen to thirty six months before the sale because buyers look at multi year performance not just the most recent month.
• Buyers want clean financials meaning clear books, tax returns, and expenses that are easy to understand.
• Revenue is important but profit margins matter more. Buyers are purchasing cash flow not just top line sales.
• Add backs can increase value. Things like owner salary, personal expenses, or one time costs can be added back to show true earnings.
• You can often increase the sale price by planning ahead. Sometimes, small adjustments in operations, payroll reporting or expense structure can dramatically improve valuation.

Selling a business is not just a transaction. It is a financial planning process. If your goal is to eventually exit, retire or move into your next venture, the best thing you can do is get guidance early.
