Understanding Landholder Duty

Landholder duty applies when buying a significant interest in a unit trust scheme or company that owns land in NSW with an unencumbered value of $2 million or more.

From 1 February 2024, private unit trust schemes can be registered as wholesale unit trusts or imminent wholesale unit trust schemes, impacting duty assessments.

Significant interest is defined as:
β€’ 50%+ in a private landholder
β€’ 20%+ in private unit trust schemes (excluding registered wholesale/imminent wholesale unit trusts)
β€’ 90%+ in a public landholder

Duty includes land interests, fixtures, discretionary trusts, uncompleted sales, and linked entities.

Liability falls on the acquirer, the landholder/trustee, or parties in aggregated interest acquisitions.
