This is proof that you should never quit something just because “it’s hard”. This memory from 6 years ago is actually something I think about often and it motivates me. This was my very first listing. After 6 months of being licensed, this family took a chance on me and honoured me with the task of selling their house that they were quickly outgrowing, and to help them purchase the perfect home they could raise their beautiful family in for many years to come. This is one of the most asked questions by homebuyers and can be an intimidating situation if left unexplained, possibly preventing buyers from purchasing their perfect property. Competing offers on a home creating a “Bidding War” has been common in the Canadian real estate market for many years, and in Windsor Essex County I have personally successfully represented buyers in bidding wars for the last six years. Factors such as low supply and high demand, historically low mortgage rates and immigration are the biggest factors to competing offers on desired properties.

During a bidding war, the listing brokerage must disclose the number of active offers on a property, whether any of the buyers are represented by the listing brokerage, and whether any offers include an adjustment to the commission the seller would pay the buyer’s brokerage. These disclosures help ensure a level playing field for all buyers. The seller can accept or reject any offer, make a counter-offer to one of the offers, or even give one or more buyers an opportunity to “improve” their offers. There is a set date and time that all interested parties are able to submit their offers by.

The most common use for an ‘Escape Clause’ in a real estate transaction is when the seller has accepted a conditional offer on their home. Some conditions such as the buyer obtaining financing or completing an inspection can be done within a few days to a week. However, a condition in which the buyer needs to sell their home can leave the seller waiting weeks or months for that condition to be fulfilled, or face possible disappointment and have to re-market the property if the buyer was unable to sell their own home.

In an effort to prevent the sellers from missing out on other buyers that are interested in that property, the sellers agent will ask to include an ‘Escape Clause’ in the agreement. An escape clause can allow the seller to continue to show/market the property and be able to back out of a the sale in the event of a better offer being made by a new buyer. In this case, the first buyer must be informed in writing when the seller accepts a second offer and is asked to either waive their outstanding conditions and go forward with the purchase or decide to back out and allow the second buyer to proceed. Generally, this decision must be made quickly by the original buyer – the usual period is just 48 hours to come to a decision.

It is extremely important to understand the use of an ‘Escape Clause’ by both buyers and sellers and their respective real estate sales representatives to ensure all parties are fully aware of the possibilities of their agreement when this clause is used.
