Switzerland’s new Transparency Register enters into force on 1 October 2026.
For owners of Swiss AGs and GmbHs, foreign shareholders and international entrepreneurs, this is more than a new administrative filing.
The new rules introduce federal reporting of beneficial owners (UBOs) and make consistency between company records, the Commercial Register, ownership structures and bank KYC documentation even more important.
Key points:
• The main UBO threshold is generally 25% of capital or voting rights
• Indirect ownership through foreign holding companies may also need to be traced
• The register will not be public
• New companies will generally have one month to report
• Changes in beneficial ownership must generally be reported within one month
• Existing AGs and GmbHs have different transitional deadlines
• Certain Commercial Register changes may accelerate the reporting obligation
