Illiquidity gets a bad reputation it doesn't always deserve.

Here's what it actually buys you in a well-structured private credit deal.

Certainty of term.

The investment runs for a defined period.

No daily repricing. No market-driven volatility.

The structure performs according to the terms it was built on.

Priority of access.

Because private credit isn't publicly traded,

you're accessing deals that institutional capital has historically kept to itself.

The illiquidity premium exists because the access is real.

Discipline of deployment.

An 18-month fixed term means the manager has to underwrite properly from day one.

There's no exit valve. No ability to rebalance mid-cycle.

The structure has to work - and experienced managers build accordingly.

Illiquidity isn't a downside to be tolerated.

In the right structure, it's the mechanism that makes the return possible.

The question worth asking isn't "how liquid is this?"

It's "what does the illiquidity give me in return -
and is the structure behind it worth committing to?"

📖 That's Question 8 in our 25 Questions guide.

Something structural happened in UK lending over the past decade.

Banks pulled back from real estate development finance.

Not all at once.

Gradually - driven by post-2008 regulation,

tighter capital requirements under Basel III,

and an increasing focus on lower-risk balance sheet assets.

The gap they left behind didn't close.

It grew.

Today, the UK real estate lending market has a structural deficit

that traditional banks are neither positioned nor incentivised to fill.

Private credit stepped in.

Not as a temporary fix -

as a permanent feature of how development finance works now.

For investors, this matters because it explains

why the asset class exists and why it keeps growing.

Private credit in real estate isn't competing with banks.

It's operating in the space banks chose to leave.

The opportunity is structural.

The demand from developers is consistent.

And the terms - including security and return - reflect that positioning.

If you're evaluating private credit as part of your portfolio,

the 25 Questions guide covers the key questions

worth asking any manager in this space.

Something has shifted in how experienced investors are building portfolios.
Not a dramatic pivot. A deliberate rebalancing.

The investors allocating to private credit today
aren't doing it because public markets have disappointed them.

They're doing it because they've realised that contractual income
and equity growth serve different functions in a portfolio.
One doesn't replace the other.

They work independently - and that independence is the point.

Private credit generates income defined at origination.
It doesn't reprice when the FTSE moves.
It doesn't react to a rate decision mid-cycle.
It performs according to the terms it was structured on.

Average private credit allocations in sophisticated HNW portfolios
have moved from 3–4% to 6%+ over the past few years.
Some are targeting higher.

The question has moved on from "should this be in my portfolio?"
to "which structures are actually worth the illiquidity?"

That's the question the 25 Questions guide is built around.
Not theoretical. Based on what informed investors
actually ask before committing to a position.

The conversations we're having with investors in 2026 are different from two years ago.
Not dramatically. But noticeably.

Two years ago, most first conversations started with the return.
Now they start with the structure.

"Walk me through how the capital is protected."
"Who holds the charge - and what can they do with it?"
"What does the exit actually look like?"
This is what a maturing market looks like.

Investors who've been in private credit for one or two cycles
have learned to look past the headline number.
They've seen enough to know that the yield is only as good
as the structure sitting underneath it.

And that's a genuinely positive shift - for investors and for managers
who've been building with rigour from the start,
rather than retrofitting compliance as scrutiny increases.

The Bond was designed to answer these questions clearly.
Upfront. Before anyone asks us to.

If you're at the stage of evaluating an opportunity seriously,
the 25 Questions guide is where we'd suggest starting.

It's what we'd want to know if we were sitting on the other side of the table.

Private credit" covers a lot of ground.

More than most investors realise when they first start evaluating it.

Here's a distinction worth making early:

→ Corporate direct lending.

Security is the business itself.
Revenue projections. Client contracts. Management teams.
Valuable - until they aren't.

→ Asset-backed credit.

Security is a physical asset.
Land. A building. A legal charge registered at HMLR.
Something that exists independently of what the borrower does next quarter.
Same category. Very different underlying exposure.

At M***a, every position in the Private Credit Bond is secured by a first-ranking legal mortgage on UK real estate.

That charge isn't held by us.
It's held independently by M&G Investments - a 90-year-old institutional trust provider - with the unilateral authority to enforce it without waiting for our instruction.

As the private credit market matures and more structures come to market, this distinction is becoming one of the most important questions a serious investor can ask.

Not "what's the return?"
But "what sits beneath it - and who controls it?"

Question 11 in our 25 Questions guide covers exactly this.

Large US institutional allocators are moving into UK and European private credit in 2026.

It's not a quiet shift.

Several state pension funds and major alternative managers

have publicly cited European private debt as a priority allocation this year.

The reason is structural:

European deals price wider than their US equivalents.

The market is less crowded at the origination level.

And UK real estate - undersupplied, structurally in demand -

remains one of the most compelling places to deploy secured credit.

This isn't news to us.

They’re seeing what we’ve seen since 2020

What it does confirm is that the fundamentals

attracting sophisticated institutional capital from overseas

are the same ones that underpin how we source and structure every deal.

Off-market. Before the open market sees it.

Acquired at a meaningful discount to current value.

With security held independently by M&G Investments.

When institutional money from three time zones away

identifies the same opportunity you've spent a decade and a half executing on,

it's a reasonable confirmation you've been looking at the right things.

The origination piece is Question 2 in our 25 Questions guide.

The questions are getting sharper.

Not from first-time investors.

From the ones who've already been through a cycle.

The ones who've seen what a poorly structured deal looks like from the inside.

They're not leading with "what's the return?"

They're leading with:

→ "Who actually holds the security?"

→ "What happens to my capital if the developer misses a milestone?"

→ "Where does the yield come from - specifically?"

That shift matters.

Private credit AUM is projected to reach $4.5 trillion by 2030.

The market is expanding fast.

And with more managers entering the space,

the gap between rigorous structures and marketed ones is widening.

Top quartile vs bottom quartile in private credit:

over 5 percentage points per annum.

The opportunity is real.

So is the variance in how it's being executed.

We've been building the same way for 7 years.

The market growing around us doesn't change the process.

It just makes the right questions more obvious.
