In the Philippines, itโs very common for debts to be paid using land instead of cash.
Recently someone asked me this question:
โBroker George pwede ba bayaran ang utang gamit ang lupa?โ
The answer is yes. This is called Dacion en Pago โ where property is transferred to settle a debt.
But hereโs where things get complicated. The land being offered as payment was still under a Mother Title.
Meaning:
โข The property is still under the original title
โข The heirs have not formally subdivided the land yet
โข The titles for each portion do not exist yet
Even if the heirs already verbally agreed which portion belongs to whoโฆ
Legally, the land is still co-owned by all heirs.
And this is where the risk starts. Someone might say:
โFront portion akin.โ
โBack portion akin.โ
But in the eyes of the law, those portions donโt exist yet until the estate is settled and the land is subdivided.
So if someone accepts land under a mother title as payment for a debt, several problems may happen later:
โข Another heir might not agree to the subdivision
โข The buyer might not receive the exact portion promised
โข The title transfer might become impossible
This is actually one of the most common real estate problems in the Philippines.
So what are the options?
Option 1 โ Dacion en Pago (Land as Payment)
The land can be transferred as payment, but usually only as rights or share, not a guaranteed exact lot.
Option 2 โ Sell the Land First
The debtor sells the land to a third-party buyer and then pays the debt in cash.
This is the cleanest solution, but sometimes it takes longer.
Option 3 โ Partial Cash + Land
Sometimes both parties agree to combine cash and land to match the value of the debt.
But whatever the arrangement is, one rule always applies in real estate:
Documents protect relationships.
If the land is still under a Mother Title, make sure:
โ All heirs are aware of the agreement
โ The portion of land is clearly described
โ The document is notarized
โ A lawyer reviews the agreement
Because in real estate, the goal is not just to close the deal.
The goal is to make sure the deal still works 5, 10, or 20 years later.
