Extrajudicial vs. Judicial Settlement: Know the Difference Before Selling an Inherited Property

When a property owner passes away, the property does not automatically become ready for sale or transfer. Even if the heirs know each other or have already talked about it, the estate still needs to be properly settled.

There are two common ways to do this:

1. Extrajudicial Settlement

This is when the heirs settle the estate without going to court.

This usually works when:

✅ There is no will
✅ All heirs are known
✅ Everyone agrees
✅ No one is contesting
✅ All required heirs can sign
✅ Documents are complete

Simply put: Extrajudicial Settlement is for families who can agree peacefully and put everything in proper documents.

It is usually faster, more practical, and less expensive — but it still needs to be done correctly.

2. Judicial Settlement

This is when the estate needs to go through court.

This may be needed when:

❌ Heirs cannot agree
❌ One heir refuses to sign
❌ An heir is missing
❌ There are minor heirs
❌ There is a will that needs probate
❌ There are disputes over shares or ownership
❌ The family cannot settle the property voluntarily

Simply put: Judicial Settlement is for situations where court guidance is needed because the issue cannot be resolved peacefully.

Simple Example

If all children agree to sell the inherited property and everyone can sign, the family may explore Extrajudicial Settlement.

But if one heir refuses, another is missing, or there is a fight over the shares, the family may need Judicial Settlement or legal action.

Why This Matters

Many inherited properties remain stuck for years because families delay settlement or rely only on verbal agreements.

This can lead to:

❌ Failed sales
❌ Buyer backing out
❌ Title transfer delays
❌ Family conflict
❌ Higher costs
❌ Court cases

A property may be valuable, but if the estate is not properly settled, it can become difficult to sell or transfer.

What Families Should Do First

Bakit KAILANGAN Mo Mag-Due Diligence Bago Bumili ng Property

Alam mo yung feeling na excited ka na mag-invest ng malaking pera, tapos biglang may mangyayaring hindi mo inaasahan? Yun ang nangyayari sa maraming tao na nagmamadali sa pagbili ng property — at trust me, hindi ito biro.

Ang Katotohanan Na Hindi Sinasabi ng Lahat

Ang pagbili ng lupa o bahay ay hindi katulad ng pamimili sa mall. Hindi mo pwedeng i-return kung may problema. Millions of pesos ang nakataya dito — ang iyong pinaghirapan, ang pera ng iyong pamilya, minsan pa nga ay ang iyong buong kinabukasan.

Kaya ang tanong ay simple lang:

“Handa ka bang mag-sign ng kontrata nang hindi mo alam kung malinis ba ang titulo?”

Ano Ba Talaga Ang Due Diligence?

Para sa mga hindi pa familiar — due diligence ay ang proseso ng pag-verify, pag-check, at pag-validate ng lahat ng impormasyon tungkol sa property bago mo ibigay ang iyong pera.

Hindi ito paranoia. Ito ay responsibilidad.

Mga Bagay Na DAPAT Mong I-Check

1. Titulo ng Lupa
Una sa lahat — pumunta sa Registry of Deeds at i-verify kung ang titulo ay authentic at malinis. Maraming beses na nangyari na ang ibinebentang lupa ay may encumbrance, lien, o mortgage na hindi sinasabi ng seller. Isipin mo na lang — babayaran mo ang lupa, tapos may utang pa pala ito sa bangko.

2. Tax Declaration at Real Property Tax
Bago ka mag-sign ng kahit anong dokumento, i-check mo kung updated ang tax payments. Kung may arrears ang property, ikaw ang magiging responsable pagkatapos ng transfer. Hindi ito maliit na bagay.

3. Zoning at Land Use
Gusto mo bang magtayo ng negosyo sa lupa na binili mo, tapos malaman mong residential zone lang pala ito? O mas malala — agricultural land na hindi pwedeng i-convert? I-verify sa local government unit kung ano talaga ang classification ng property.

4. Boundaries at Actual Area
Ang nakasulat sa papel at ang aktwal na sukat ng lupa — hindi palaging magkapareho. Mag-hire ng licensed geodetic engineer para ma-verify ang metes and bounds. Mas mura pa ito kaysa sa magkagulo ka sa korte mamaya.

5. Mga Encumbrances at Legal Issues
May kasong naka-file ba sa lupa? May nagkukumpleto bang ibang tao ng kanilang ownership claim? Lahat ito ay makikita sa Certified True Copy ng titulo mula sa Registry of Deeds. Huwag kang magtiwala sa photocopy lang na ibinibigay ng seller.

6. Identity ng Seller
Oo, kailangan mo ring i-verify kung sino talaga ang taong kausap mo. May mga kaso na ang nagbebenta ay hindi naman pala ang tunay na may-ari. Huwag mahiya — humingi ng valid IDs, at i-cross check sa titulo.

Ang Mahal Na Aral Na Hindi Mo Gustong Matutunan

Narinig mo na ba ang kwento ng mga taong nagbayad ng buong halaga ng lupa, tapos lumabas na may ibang may-ari pala? O yung biniling bahay na may squatters na ayaw umalis? O yung lupa na nasa fault line o flood zone?

Lahat ng ito ay preventable — kung ginawa lang ang tamang due diligence.

Bottom Line

Ang due diligence ay hindi extra step. Ito ang pinaka-importanteng hakbang sa buong proseso ng pagbili ng property.

Pwede kang mag-negotiate ng presyo. Pwede kang maghanap ng mas magandang location. Pero kapag nabili mo na ang property na puno ng problema — wala nang paligoy-ligoy pa.

Mag-invest ng oras. Mag-invest ng kaunting pera para sa tamang professionals — Licensed Real Estate Broker, geodetic engineer at abogado. Kasi ang presyo ng due diligence ay walang kapantay kung ikukumpara sa halaga ng pagkakamali.

Ang tamang property deal ay hindi yung pinaka-mabilis — kundi yung pinaka-ligtas.
