Medyo magulo nga ito at marami ang ginagamit ang dalawang terms na ito interchangeably โ€” kahit nga ilang real estate practitioners.

Pero nilinaw na ito ng korte na ๐˜ฉ๐˜ช๐˜ฏ๐˜ฅ๐˜ช ๐˜ฑ๐˜ข๐˜ณ๐˜ฆ๐˜ฉ๐˜ฐ ang dalawa. Ang pinagkaiba nila ay andito sa isang kritikal na tanong: ๐˜ฌ๐˜ข๐˜ฏ๐˜ช๐˜ฏ๐˜ฐ ๐˜ฃ๐˜ข ๐˜ข๐˜ฏ๐˜จ ๐˜ฑ๐˜ณ๐˜ฐ๐˜ฑ๐˜ฆ๐˜ณ๐˜ต๐˜บ habang nagbabayad pa ang buyer?

Sa Philippine law, ang Deed of Conditional Sale ay karaniwang itinuturing na isang ๐˜ฑ๐˜ฆ๐˜ณ๐˜ง๐˜ฆ๐˜ค๐˜ต๐˜ฆ๐˜ฅ ๐˜ค๐˜ฐ๐˜ฏ๐˜ต๐˜ณ๐˜ข๐˜ค๐˜ต ๐˜ฐ๐˜ง ๐˜ด๐˜ข๐˜ญ๐˜ฆ na may ๐˜ณ๐˜ฆ๐˜ด๐˜ฐ๐˜ญ๐˜ถ๐˜ต๐˜ฐ๐˜ณ๐˜บ ๐˜ค๐˜ฐ๐˜ฏ๐˜ฅ๐˜ช๐˜ต๐˜ช๐˜ฐ๐˜ฏ. Kung nag-default ang buyer? Hindi na kailangan ng seller na mag-rescind. Hindi na kasi nag-kick in ang obligation to sell. Ang non-payment ay hindi pa nga considered na breach โ€” ibig sabihin lang, walang sale na naganap.

Pinagtibay ito ng Supreme Court sa marami nang kaso, na nagsasabing sa Contract to Sell, nananatili ang ownership sa seller at hindi ito lumilipat sa buyer hangga't hindi fully paid.

Ang mahalaga ay ang ๐˜ช๐˜ฏ๐˜ต๐˜ฆ๐˜ฏ๐˜ด๐˜บ๐˜ฐ๐˜ฏ ng mga partido at ang ๐˜ต๐˜ถ๐˜ฏ๐˜ข๐˜บ ๐˜ฏ๐˜ข ๐˜ฎ๐˜จ๐˜ข ๐˜ต๐˜ฆ๐˜ณ๐˜ฎ๐˜ด ng agreement.

Sa kasong Spouses Kaw vs. Heirs of Nodalo, sinabi ng korte na ang isang dokumento na naka-label na "Deed of Conditional Sale" ay talagang "Contract to Sell", dahil ipinakita ng mga terms na hindi naman talaga intensyon ng parties na lumipat ang ownership hanggang full payment. Hindi decisive ang "label" ng document.

Kaya kahit nakasulat ang "Deed of Conditional Sale" sa itaas ng kontrata mo, pwedeng ituring ito ng korte na Contract to Sell โ€” at vice versa โ€” depende sa talagang laman.

Kahit DCS o CTS ang agreement nyo, kung bumibili kayo ng residential real estate na installment, pwede kayong protektahan ng Maceda Law (Republic Act No. 6552). Mga karapatan:

โ†’ Kung nakabayad ka na ng hindi bababa sa 2 years of installments at nag-default ka, may grace period ka na 1 month para sa bawat taon ng installments na nabayaran mo.
โ†’ Kung ma-cancel ang contract, may karapatan kang ma-refund ng hindi bababa sa 50% ng total payments.
โ†’ Kung less than 2 years pa lang ang nabayaran mo, may 60-day grace period ka pa rin bago ma-cancel, at kailangan ka pang bigyan ng 30-day notice.

Tandaan: Residential real estate lang ang sakop ng Maceda Law. Hindi kasama ang industrial lots, commercial buildings, o agricultural land.

Contract to Sell:

You sold a piece of land. The buyer asks: "Magkano ang tax?"
You say: "6% capital gains tax."

Here's the thing: not all real estate sales in the Philippines are taxed the same way. If you're not a real estate dealer, developer, or broker โ€” and the property isn't part of any business โ€” it's likely a capital asset.

An ordinary asset is real property connected to your trade or business โ€” or held as inventory for sale. This includes properties owned by real estate developers, dealers, brokers, and businesses that use the property in their operations.

Under BIR Revenue Regulations No. 7-2003, ๐˜ข๐˜ญ๐˜ญ real properties held by real estate dealers, developers, and brokers are automatically classified as ordinary assets โ€” regardless of actual use or how long they've been held.

๐Ÿ’ฐ ๐—ง๐—ฎ๐˜… ๐—ผ๐—ป ๐˜๐—ต๐—ฒ ๐˜€๐—ฎ๐—น๐—ฒ ๐—ผ๐—ณ ๐—ฎ๐—ป ๐—ผ๐—ฟ๐—ฑ๐—ถ๐—ป๐—ฎ๐—ฟ๐˜† ๐—ฎ๐˜€๐˜€๐—ฒ๐˜:

โ†’ Creditable Withholding Tax (CWT) โ€” ranging from 1.5% to 6% depending on the seller's status. This is ๐˜ฏ๐˜ฐ๐˜ต a final tax โ€” it's credited against your income tax due.
โ†’ The gain from the sale must be declared in your annual Income Tax Return and taxed at the applicable income tax rate (graduated rates for individuals, or corporate income tax rate for corporations).
โ†’ 12% Value-Added Tax (VAT) โ€” if the seller is VAT-registered or required to be. However, residential properties (house and lot or condo) priced at โ‚ฑ3.6 million or below are currently VAT-exempt as of January 1, 2024, per BIR Revenue Regulations No. 1-2024.
โ†’ 1.5% Documentary Stamp Tax (DST)

Mas complex. Mas maraming tax layers. And potentially a much higher total tax bill.

Misclassifying your property can trigger deficiency taxes, penalties, and surcharges from the BIR. The BIR can reclassify your asset during an audit โ€” and the burden of proof is on you, the taxpayer, to justify a capital asset classification.

One red flag: the BIR may apply a rebuttable presumption that you are a real estate dealer if you've sold two or more properties within a two-year period. So kahit personal investment ang tingin mo sa property, baka sa mata ng BIR, ordinary asset na 'yan.

Ordinary Asset โ†’ CWT (1.5%โ€“6%) + Income Tax on gain + 12% VAT (with exemptions) + 1.5% DST. Multiple BIR forms required per transaction.

Know the classification ๐˜ฃ๐—ฒ๐—ณ๐—ผ๐—ฟ๐—ฒ you sell. Consult a tax professional if you're unsure. The difference between "capital" and "ordinary" could mean hundreds of thousands of pesos in taxes you weren't expecting.
