🏠 REAL ESTATE LEGAL CHECK | EARNEST MONEY, PARTIAL PAYMENT & BACKING OUT
For Buyers & Sellers | RealtyCheckByRaquel

Maraming nagkakaroon ng problema sa bentahan ng lupa, bahay, o property dahil may verbal agreement, reservation fee, down payment, o earnest money, pero biglang may gustong umatras.

Pero sino ba ang may pananagutan kapag SELLER ang nag-back out?
At paano naman kung BUYER ang nagbago ng isip?

👉 Parehong may legal consequences—depende sa tunay na nature ng agreement, mga dokumento, at ebidensya.

🔵 KAPAG SELLER ANG NAG-BACK OUT

Halimbawa:

Property price: ₱2.2 Million
Buyer paid: ₱200,000
Remaining balance: ₱2 Million

Kung malinaw na nagkaroon ng meeting of minds tungkol sa property at presyo at ang ₱200,000 ay tunay na earnest money sa isang perfected contract of sale, Article 1482 of the Civil Code provides that earnest money is considered part of the purchase price and proof of the perfection of the sale.

Ibig sabihin, hindi basta-basta puwedeng sabihin ng seller:

❌ “May mas mataas na offer.”
❌ “Ayaw ko na ibenta.”
❌ “Ire-refund ko na lang ang ₱200,000.”

Kung may binding agreement at walang valid ground para umatras, maaaring magkaroon ng breach of contract at maaaring humingi ang kabilang party ng remedies such as fulfillment/specific performance or rescission, with damages when legally proper, depending on the circumstances.

⚠️ Ngunit mahalagang tandaan: hindi automatic na lahat ng ₱200,000 partial payments ay legally “earnest money.” Titingnan kung ano talaga ang napagkasunduan, ano ang nakalagay sa resibo/contract, at kung may meeting of minds tungkol sa sale. The Supreme Court has emphasized that earnest money presupposes a perfected contract of sale and that its existence can be disputed by contrary evidence.

🔴 NGAYON, BALIKTARIN NATIN:

KAPAG BUYER ANG NAG-BACK OUT

Halimbawa:

Nagkasundo ang buyer at seller sa ₱2.2M property.

Nagbigay ang buyer ng ₱200,000.

Nagkaroon na ng agreement tungkol sa property at presyo.

Pero pagkatapos, biglang sinabi ng buyer:

«“Ayoko na. Nagbago isip ko.”»

O kaya:

«“May nakita akong mas mura.”»

O:

«“Hindi na ako tutuloy.”»

❗ Hindi ibig sabihin na dahil buyer ang nagbigay ng pera ay automatic may karapatan siyang bawiin ang buong ₱200,000.

Kung ang ₱200,000 ay tunay na earnest money at may perfected contract, maaari itong maging bahagi ng purchase price at maaaring magkaroon ng consequences kapag ang buyer ang hindi tumupad sa kanyang obligasyon.

Kung may malinaw na stipulation na ang earnest money/deposit ay forfeitable kapag buyer ang umatras, maaaring magkaroon ng legal basis ang seller upang i-retain ito, subject pa rin sa terms ng agreement at applicable law.

Sa isang contract to sell, iba naman ang analysis. The Supreme Court has recognized that earnest money may be given in a contract to sell, but its legal effect depends on the terms and conditions of that contract.

💡 KAYA BUYER, HUWAG BASTA MAGBIBIGAY NG EARNEST MONEY.

Bago magbayad, alamin:

✅ Ano ang nature ng payment—reservation fee, deposit, down payment, o earnest money?
✅ Refundable ba o non-refundable?
✅ Forfeitable ba kapag buyer ang umatras?
✅ Ano ang deadline ng full payment?
✅ Ano ang mangyayari kung hindi ma-approve ang loan?
✅ Ano ang mangyayari kung may problema sa title?
✅ May condition ba bago maging final ang sale?
✅ Sino ang sasagot sa taxes, fees, at other expenses?

Dapat nakasulat.

⚖️ AT KAPAG SELLER NAMAN ANG NAG-BACK OUT?

Buyer, huwag agad pumayag sa simpleng:

«“Ibalik ko na lang ang pera mo.”»

Kung naniniwala kang may perfected and enforceable agreement, huwag basta pumirma ng cancellation, quitclaim, waiver, o acknowledgment na wala ka nang habol nang hindi muna nauunawaan ang legal effect nito.

Maaaring magkaroon ng remedies depending on the facts, including specific performance and/or damages, subject to proof and the actual terms of the agreement.

📌 Paano naman ang STATUTE OF FRAUDS?

Maraming nagsasabi:

«“Verbal lang ang usapan kaya walang bisa.”»

Hindi ganoon kasimple.

The Civil Code recognizes that a sale may be made in writing, orally, partly in writing and partly orally, or inferred from the conduct of the parties, subject to applicable laws.

At kapag may partial performance, maaaring hindi na mag-apply ang Statute of Frauds in the same way as it would to a purely executory agreement.

Pero tandaan:

⚠️ Partial payment alone does not automatically prove every element of a perfected contract of sale.

Kailangang tingnan ang:

CONSENT + DETERMINATE PROPERTY + CERTAIN PRICE + ACTUAL TERMS OF THE AGREEMENT + EVIDENCE OF PAYMENT/ACCEPTANCE.

The Supreme Court has specifically stated that the existence of a sale depends on the concurrence of the essential elements and that earnest money is not, by itself, conclusive proof in every case.

🚨 IMPORTANT REMINDER FOR BOTH PARTIES

BUYER:
Huwag magbigay ng malaking pera nang walang malinaw na written agreement.

SELLER:
Huwag tumanggap ng earnest money nang walang malinaw na terms tungkol sa cancellation, default, deadlines, refund, at forfeiture.

BOTH PARTIES:
Huwag umasa sa:

❌ “Usapan lang natin.”
❌ “Magkakilala naman tayo.”
❌ “Refund na lang.”
❌ “Verbal naman kaya walang kaso.”

Sa property transactions, documentation is protection.

• Receipts
• Bank transfers
• Screenshots
• Messages
• Emails
• Signed agreements
• Acknowledgment receipts
• Proof of expenses
• Property documents
• Witness information

Dahil kapag nagkaroon ng dispute, ebidensya ang magsasalita.

📌 "Mother Title lang ang hawak ng seller. Pwede na bang bayaran nang buo?"

May nagtanong sa akin tungkol sa sitwasyong ito:

«Bumili sila ng lupa na 3 years to pay, ngunit gusto na nilang i-full payment matapos ang halos isang taon. Ang problema, ang developer o owner ay humihingi na ng buong bayad kahit Mother Title lamang ang maibibigay niya. Wala pa ring Individual Title, at sinasabing "pre-selling" pa ang proyekto.»

Marami ang nagtatanong kung normal ba ito.

Ang sagot ay: Depende. Ngunit kailangan ninyong maging maingat.

Ano ang ibig sabihin ng Mother Title?

Ang Mother Title ay ang orihinal na titulo ng isang malaking lupain. Kapag isasailalim ito sa subdivision, saka pa lamang magkakaroon ng hiwa-hiwalay na Individual Titles para sa bawat lote.

Hindi awtomatikong ibig sabihin na ligtas na ang transaksyon dahil may Mother Title ang seller.

Kailan dapat mag-ingat?

🚩 Kung pinapabayaran na kayo nang buo pero wala pang malinaw na proseso kung kailan ilalabas ang Individual Title.

🚩 Kung puro pangako lamang ang ibinibigay at walang dokumentong nagpapatunay ng proseso ng subdivision.

🚩 Kung paulit-ulit na nade-delay ang mga pangako nang walang konkretong update.

🚩 Kung hindi kayo binibigyan ng mga legal na dokumento na magpapatunay sa inyong karapatan bilang buyer.

Ano ang dapat ninyong hilingin bago mag-full payment?

✅ Kopya ng Mother Title.

✅ Approved Subdivision Plan.

✅ License to Sell at Certificate of Registration (kung developer ang nagbebenta at sakop ng batas).

✅ Written Contract to Sell o Deed of Sale.

✅ Timeline kung kailan inaasahang mailalabas ang Individual Title.

Pwede bang magpa-refund?

Kung hindi natutupad ng seller ang mga napagkasunduan sa kontrata o may paglabag sa kanilang obligasyon, maaaring magkaroon ng legal na basehan para humingi ng refund. Ang tamang hakbang ay nakadepende sa nilalaman ng inyong kontrata at sa sitwasyon ng inyong pagbili.

Huwag basta-basta magbigay ng buong bayad kung hindi malinaw ang legal na dokumentasyon. Mas mabuting magpa-verify muna ng mga dokumento bago magdesisyon.

💡 Tandaan: Ang pinakamahal na pagkakamali sa real estate ay ang pagbili nang hindi muna nagsusuri ng mga dokumento.

Kung may tanong kayo tungkol sa lupa, titulo, transfer of ownership, o nais ninyong ipa-review ang inyong property documents, maaari kayong mag-message sa page. Mas mabuting magtanong muna kaysa magsisi sa huli.

REALTY CHECK BY MS. RAQUEL | HUWAG MAG-AKALA NA ANG LUPANG NASANGLA AY AWTOMATIKONG MAGIGING SA IYO

Isa sa mga pinakakaraniwang tanong na natatanggap ko ay:

"Mahigit 10 taon nang nakasangla sa amin ang lupa. Namatay na ang nagsangla at wala naman siyang asawa o anak. Sa amin na ba ang lupa?"

📌 Ang sagot ay: Hindi pa rin awtomatiko.

Maraming nagkakamali sa paniniwalang kapag matagal nang hawak ang lupa o namatay na ang nagsangla, awtomatiko nang naililipat ang pagmamay-ari. Ngunit sa batas ng Pilipinas, ang pagsasangla ay hindi katumbas ng bentahan o paglilipat ng titulo.

Ano ang dapat mong malaman?

✅ 1. Ang sangla ay hindi bentahan.
Kung ang kasunduan ay pagsasangla lamang at walang Deed of Absolute Sale, Deed of Conditional Sale, o iba pang legal na dokumentong naglilipat ng pagmamay-ari, nananatiling pag-aari ng nagsangla ang lupa.

✅ 2. Ang pagkamatay ng nagsangla ay hindi nagbibigay ng pagmamay-ari sa may hawak ng sangla.
Kapag namatay ang may-ari, ang kanyang mga karapatan sa ari-arian ay karaniwang napupunta sa kanyang mga legal na tagapagmana sa pamamagitan ng tamang proseso ng settlement of estate.

✅ 3. Hindi ibig sabihin na walang asawa o anak ay wala nang tagapagmana.
Maaaring may:
• Mga magulang (kung nabubuhay pa)
• Mga kapatid
• Mga pamangkin (depende sa sitwasyon)
• Iba pang legal na tagapagmana ayon sa Civil Code.

✅ 4. Kahit walang natagpuang tagapagmana, hindi pa rin awtomatikong mapupunta ang lupa sa humahawak ng sangla.
May legal na proseso pa ring dapat sundin bago magkaroon ng pagbabago sa pagmamay-ari ng lupa.

Bago isiping maaari nang angkinin ang lupa, itanong muna ang mga ito:

✔️ May nakasulat bang kasunduan sa pagsasangla?
✔️ May expiration o redemption period ba ang sangla?
✔️ Kanino nakapangalan ang titulo o tax declaration?
✔️ May Deed of Sale ba o sangla lamang?
✔️ May mga resibo ba ng perang ipinahiram?
✔️ May pahintulot o iba pang legal na dokumento mula sa nagsangla?

⚠️ Huwag basta gumastos o magpatayo ng bahay sa lupang hindi pa legal na naililipat sa inyong pangalan. Mas mabuting siguraduhin muna ang legal na estado ng ari-arian upang maiwasan ang malaking problema sa hinaharap.
