EMD - Earnest Money Deposit

What is it?
Why does it exist?

EMD is the upfront deposit a buyer (or wholesaler) needs to put into escrow. It's an amount of money that shows "good faith" to the seller.

It's basically your skin-in-the-game and allows your seller to take you seriously. How seriously will you be taken if you don't put any or any real amount in?

Also, to make the contract legal, an amount of monetary compensation must be put up. That's part of the "adequate consideration" part to make the contract legally binding.

However, the EMD does not necessarily need to come from your pocket. Consider bringing in a partner who provides this, allowing you to focus on what you are good at: finding and negotiating a deal.

When buying a multifamily property, here is what you must do:

1) Review the leases and tenant estoppels (estoppel is a confirmation by the tenant of the lease agreement to ensure they are not fake)
2) Hire a home inspector
3) Video camera the sewer lines
4) Review the profit and loss statement
5) Verify with the local authority that all units are legal
6) Talk to the tenants and build rapport

Why are you selling? You need to understand their motivation.
What are you doing with the money? This will help you structure your offer.
How long have you owned the property? This will help you understand their motivation.
What is the story of the property? This will help you understand if they are emotionally attached the property.
What debt is on the property? This will help you structure your offer.

Try this:

>Pull the County list of licensed General Contractors, then cold call them all. Ask if they work with investors and work with the flip model.

>Drive the area and find the homes being worked on, then approach the crew and find out who the General Contractor is. That way you also can see how their crews work.

>Ask other investors who they use. This is a great way to find out who is good and who is not.

Mistakes to Avoid when fix n flips:
>Location – backs up to commercial center, busy streets/freeway, and train tracks. No ugly neighbors.
>Bad bones – ceiling height too low, awkward layout, unchangeable undesirable features
>Put too much into the property – over improving the property compared to the neighborhood. Neighborhoods have certain buyers. Don’t build for a buyer that will not be buying in that neighborhood.
>Buy it right – the most controllable factor is buying the property right. Spending too much upfront will not allow you to have enough room and cushion if things go sideways, which they will.
