People use the terms "1031 Exchange" and "Delaware Statutory Trust" interchangeably, as if they are the same thing. They are not. They are two completely separate concepts, and understanding the difference could save you a significant amount of money and open up investment opportunities you did not know you had.
Here is the breakdown:
A 1031 Exchange is a tax strategy rooted in Section 1031 of the U.S. Internal Revenue Code. When you sell an investment property, you would normally owe capital gains taxes on your profit. A 1031 Exchange allows you to defer those taxes by reinvesting your proceeds into a qualifying like-kind replacement property within a specific IRS timeline. 45 days to identify your replacement. 180 days to close. The exchange is the process, not the property.
A Delaware Statutory Trust is a type of investment property structure. It is a legal entity that allows multiple investors to hold fractional ownership interests in large, professionally managed commercial real estate assets. Apartment communities, industrial facilities, medical offices, retail centers. Investors receive passive income distributions without any of the day-to-day management responsibilities. The DST is the destination, not the strategy.
Where the two connect: The IRS recognizes Delaware Statutory Trusts as qualifying like-kind replacement properties under 1031 Exchange rules. That means when you complete a 1031 Exchange, you can choose a DST as your replacement property, giving you passive income, professional management, and continued tax-deferred growth all in one move.
To put it plainly:
The 1031 Exchange is HOW you defer the taxes.
The DST is WHERE your money goes.
