🚨 A great-looking ALF doesn’t always mean it’s a great deal.

Before an assisted living facility changes hands, there are a few things that can turn an attractive opportunity into a complicated transaction.

Here are 3 deal killers buyers pay close attention to:

💰 1. An unrealistic asking price
Strong performance doesn’t automatically justify any price. The numbers have to support the valuation.

📊 2. Financials that don’t hold up
Inconsistent records, unexplained expenses, or financials that can't be verified can raise serious questions during due diligence.

📋 3. Licensing & compliance issues
Outstanding regulatory concerns can create delays, additional costs, and uncertainty for a buyer.

The takeaway?
The property may look perfect. The deal still has to make sense.

Your facility isn't worth $2M because you WANT $2M.

It's worth $2M because the numbers prove it.

This is one of the biggest disconnects I see in the assisted living market.

Owners often focus on the asking price.

Buyers often focus on whether they can negotiate that price down.

But neither question gets to the real issue:

What is the facility actually worth?

A serious valuation goes beyond the number of licensed beds or the size of the property.

It considers:

• Actual occupancy — not licensed capacity
• Revenue and Net Operating Income
• Payer mix
• Real estate vs. business value
• Staffing and operational stability
• Licensing and AHCA compliance history
• Transferability of the operation
• Growth potential

And buyers need to apply the same discipline.

A facility listed at $2M isn't automatically overpriced.

A facility reduced from $2M to $1.7M isn't automatically a bargain.

The price is what they're asking.
The value is what the numbers prove.
