Tuesday Title Tip of the Day!
If you are purchasing using a LLC, Corporation or Partnership, make sure you grab your 2026 Certificate of Status! Underwriters require all entities to provide the following items to title when buying or selling:
1. Proof that the entity was in existence in its state of organization at the time of either signing the Purchase Contract OR when title was acquired.
**** SIDE NOTE: Yes, this means that any entity executing a purchase contract as a Buyer/Purchaser, MUST be active at the time the contract is signed or it's not a valid contract!
2. Copy of the current year's Certificate of Status. (This would be for 2026 and would show that the entity is in good standing. This is the only document the Underwriter will accept as such and it can be ordered for a cost of $5.00 on sunbiz.org).
3. Said Entity must have a Tax ID number or title will need your social (when selling for tax purposes) - If you have not registered your entity for a Tax ID number with the IRS, email me and I can assist you!
4. Entity's Articles of Organization and Operating Agreement and any Amendments thereto.
5. Title will have the entity's signor sign a "Company" Affidavit at closing that certifies:
(A) The name and state of organization of the entity;
(B) Whether the entity is member-managed or manager-managed for LLC's
(C) The identity of the member or manager and the person authorized to execute closing documents
(D) Neither entity nor any member signing closing documents have filed bankruptcy since signing of contract or acquiring title.
Further, if the proposed deed will be executed by anyone other than a member or manager of the entity, when SELLING, those portions of the operating agreement or other documentation evidencing the authority of the signor must be attached as an exhibit to the affidavit. Which depending on the numbers of pages, will increase your Affidavit recording cost from $18.50 for 2 pages (standard page count for Affidavit). (recording costs in FL are $10.00 for 1st page and $8.00 for each page thereafter).
