California Association of Realtors (C.A.R.) defines a client as an individual who has entered into a contractual agency relationship with a real estate licensee.
This means the client has engaged the agent to represent their interests in a real estate transaction and the agent owes them fiduciary duties, including:
Loyalty
Confidentiality
Disclosure of all material facts
Obedience to the client's lawful instructions
Accounting for funds and property entrusted to the agent
Reasonable skill and care
A prospect, on the other hand, is a potential client or customer who has not yet entered into a formal agency agreement with the real estate agent. While the agent still owes some general duties to prospects, such as honesty and fair dealing, the full range of fiduciary duties is not established until an agency relationship is formed.
In essence, a prospect is someone who may become a client, but is not yet. The C.A.R. Agency Disclosure forms (like the AD form) are crucial for clarifying the agent's role and duties to both clients and prospects, explaining the different types of agency relationships that can exist in a transaction, according to the California Association of Realtors (CAR). These forms help ensure that individuals understand the nature of the relationship they have (or will have) with the real estate professional.
