In our sales meeting this week, our broker and attorney broke down the new Utah commission lawsuit. Our agents learned how this lawsuit is similar to the suits currently being litigated and, more importantly, some of the key differences that makes this suit notable and important to understand. Our agents walked away with a full analysis of the Utah suit and well equipped to converse with clients and customers about it.

Our broker also analyzed a court case dealing with the question of 'what constitutes reasonable due diligence in order to trigger certain rights when enforcing the REPC.' Our agents learned what due diligence really is, how the courts analyze due diligence efforts, why a home inspection may not fully protect a buyer's right to preserve certain claims against a seller's non-disclosure, and how to best advise clients during the due diligence period.

In our brokerage meeting this week, V Real Estate agents read and analyzed a Utah Supreme Court case where the sellers have instructions to their listing agent to sign the REPC for them because they were unavailable to sign. The instructions came from the husband after he and his wife talked about the offer. However, the buyer later cancelled the contract and the sellers sued for breach of contract.

The primary issue before the court was the wife's consultation with the husband and his instructions to the agent. The court has to wrestle with the statue of frauds and how that is impacted by spousal owners. Ultimately, the court held that a REPC never existed because of how the wife's involvement affected the transaction.

In today's sales meeting, our broker and attorney trained our agents on technical writing techniques for drafting an addendum. From the training, V agents learned the correct legal usage of legally operative words like "shall" and how it is currently being misused by agents. Interestingly, using the word "shall" incorrectly can lead to serious contract ambiguity, confusion, and disputes! We also learned the correct formula to draft iron-clad obligations in an addendum to better ensure that our clients' interests are solidly protected.

In today's sales meeting, our agents discussed and analyzed a recent case from the Utah Court of Appeals in which the Court examined a REPC between a buyer and an LLC. We looked at the Court's analysis of Utah law and how an LLC can affect the formation of a REPC. In the case, the Court ultimately held that the REPC was invalid because the LLC was organized as manager-managed and the parties' mistake on that point proved to be fatal to the formation of the contract.

V Real Estate agents walked away with a deeper understanding of Utah law with respect to how to handle transactions involving legal entities such as LLCs, partnerships, trusts, etc. they learned from the Court's own words the additional duties a party has BEFORE executing a contract with a legal entity. They learned exactly what to do when the other side is an LLC to make sure the contract is valid!

As a buyer or seller, you need an agent with the actual legal training to correctly handle these types of situations. Our agents are trained to know exactly what you MUST do before you sign the contract with that LLC! In our sales meeting yesterday, we continued our legal training by analyzing a case decided by the Utah Supreme Court in 2012 where the Court decided legal issues concerning liquidated damages clauses in contracts. This case is incredibly important in fully understanding the legalities surrounding section 16 of the real estate purchase contract and correctly advising clients with respect to this important provision.
