➡️The Basics of Form I-924

Businesses that want to obtain EB-5 regional center status must file Form I- 924 with USCIS. Form I-924, Application for Regional Center under the Immigrant Investor Pilot Program, must be approved by USCIS in order for a business entity to be designated as a regional center, enabling them to start receiving capital from foreign nationals for EB-5 projects.

In addition to serving as an application for a business to become designated as an EB-5 regional center, Form I-924 can be used to amend a regional center’s designation, which may involve changes to the regional center’s organizational structure, geographic scope, or industry scope (NAICS codes). An I-924 can also be filed to obtain approval for an exemplar project.

Several documents must accompany an I-924 application to provide the necessary evidence to USCIS that the business meets all the criteria for an EB- 5 regional center and/or exemplar project. The exact documentation required will depend on the specifics of the application, but some general requirements are listed below.
Regional centers must specify the geographic scope of their activities, and so an I-924 application must demonstrate through a detailed map the proposed area in which the regional center will operate.

The application for regional center designation must also be accompanied by a project (whether hypothetical, actual, or exemplar), and this project’s documentation will be used to demonstrate whether the regional center complies with the EB-5 Program’s requirements for investments and employment creation. Accompanying documents may include a business plan, financial projections or pro-formas, an economic report, securities documents, due diligence questionnaires, accredited investor questionnaires, subscription agreements, and documents pertaining to the structure of the new commercial enterprise.

Form I-924 must also be accompanied by a description of the anticipated promotional activities of the regional center. Specifically, this might include the marketing plan for attracting EB-5 investors, a proposed budget for marketing, evidence that funds have been allocated for promotion of the regional center, and any descriptions of past, present, or future promotional activities.
Because EB-5 capital must be lawfully obtained, Form I-924 must be accompanied by evidence for how the regional center applicant will ensure investors’ funds originate from lawful sources.

The I-924 application must be accompanied by any other documents necessary to prove that the regional center applicant will comply with all EB-5 regulations. Such documentation might include articles of incorporation for the regional center and affiliated new commercial enterprise, contracts or agreements made with other entities expected to engage in activities on the regional center’s behalf, and drafts of investment and escrow agreements

➡️ The Regional Center: The Regional Center involved in any EB-5 transaction is a USCIS-approved entity usually responsible for, among other things, raising EB-5 capital and counting direct, indirect, and induced job creation that occurs as a result of EB-5 projects. The vast majority of EB-5 projects currently utilize USCIS-designated Regional Centers, instead of the alternative (also known as “direct” EB-5 investments, a topic we will not cover in detail in this book) because the indirect and induced job calculation methodology is an effective and proven way to demonstrate job creation to USCIS that reduces uncertainty, increases transparency, and is more scalable. ➡️ It should be noted that the main difference between EB-5 Projects utilizing an EB-5 Regional Center versus those using the “direct” model is that Regional Center investments may use an economic model to calculate job creation. “Direct” investments, by contrast, may not, and instead have an evidentiary burden to prove to USCIS that the requisite jobs were created. This information in this book, unless specifically indicated otherwise, assumes Regional Center involvement in the EB-5 transaction.

Additionally, during the 1990s, four important precedent decisions were handed down in response to attempts by the AAO to regulate new EB-5 applications, which provided further clarity into the judicial standards at play: Matter of Soffici, Matter of Izummi, Matter of Hsiung, and Matter of Ho. These decisions clarified the types of commercial businesses that may qualify for EB-5 investment, established procedures for administering the investment, and required affirmation that the funding came from legal sources.

The History of the EB-5 Program

➡️ Congress created the opportunity for foreign entrepreneurs to invest in new commercial enterprises in the United States with the passing of the Immigration Act of 1990 (the “Immigration Act”).
➡️ As part of comprehensive legislative reform with respect to immigration policy, several new categories of immigration visas were enacted with the “EB” preface, indicating the visa category is “employment- based”.
➡️ EB-5 stands for “Employment Based – Fifth Preference”, a very unique and specialized visa category that qualifies certain foreign investors in U.S. commercial enterprises to qualify for a U.S. green card, providing such investor and his or her immediate family the right to live and work in the United States permanently and, if so desire, ultimately attain American citizenship.
➡️ The intention of the EB-5 Program was to stimulate the U.S. economy through the creation of jobs and, as a result, a minimum requirement of any qualifying investment is that it create at least 10 U.S. jobs per EB-5 investor.
➡️ In 1992, Congress introduced the Immigrant Investor Pilot Program, also known as the Regional Center Program, which applies specifically to the EB-5 category of visas. This provided guidelines for USCIS to approve EB-5 regional centers to oversee EB-5 investments and monitor job creation with respect to EB-5 projects.
