🏡 DEED OF SALE vs OFFER TO PURCHASE
What’s the difference?
Many buyers and sellers think these are two completely different documents. In South Africa, they are actually the same piece of paper—just at different stages!
📝 1. Offer to Purchase (The "Maybe")
What it is: A formal written offer submitted by the buyer detailing the price, deposit, and special conditions (like bond approval).
The Catch: It is not legally binding yet. It’s just an invitation for the seller to negotiate.
📄 2. Deed of Sale (The "Yes, It's Yours")
What it is: The exact same document, fully signed by both the buyer and the seller.
The Catch: Once the seller signs it, it automatically becomes a legally binding contract. You do not sign a separate document later.
💡 Quick Breakdown
Offer to Purchase = Signed by the buyer only ➡️ Not binding yet.
Deed of Sale = Signed by both parties ➡️ Locked in by law.
