That's the question we hear most from owners who assume an SBA loan means the sale isn't worth pursuing.

An outstanding SBA loan does not disqualify you from selling. Most SBA loans, and EIDL loans, are not assumable, meaning the buyer cannot simply take over your payments. Your loan has a UCC filing attached, which is the lender's legal claim on your business assets until the loan is repaid, similar to a lien. That filing is satisfied and released at closing as part of the payoff process. Your lender is paid off directly from the sale proceeds, and whatever is left after that comes to you.

Most owners ask this question before they ask anything else, and most get an answer that doesn't hold up.

There's no single timeline. Price it right and the market responds fast. Price it high and it sits, gets stale, and starts working against you. Financing adds its own clock, since most buyers need SBA approval, and that process alone can run several weeks once a deal is under contract. Lease terms matter just as much: a landlord who's slow to respond, or who wants to renegotiate before approving an assignment, can add real time to a deal that was otherwise ready to close. And financials that need to be reconstructed or explained to a buyer's lender always cost more time than financials that were clean from the start.

➤ The restaurants that sell quickest aren't the flashiest. They're the ones with clean books a lender can underwrite without back and forth, and a lease that's already been reviewed for assignment before a buyer is even in the picture. Preparation on the front end is what shortens the timeline on the back end.
